Terms of Service

1. Agreement to Terms

By accessing or using S2F.STUDIO services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

S2F.STUDIO provides software development, web design, and related digital services including but not limited to:

• MVP Development Sprints (48-hour, 5-day, 30-day)
• Website Design and Development
• AI Feature Integration
• Code Audit and Refactoring
• Ongoing Maintenance Retainers

3. Project Engagement

3.1 Scope

All project scope is defined and locked at kickoff. Changes to scope after kickoff require a separate agreement and may result in additional fees or timeline adjustments.

3.2 Timeline

Timelines are estimates based on the agreed scope. Delays caused by client response times, changes in requirements, or third-party dependencies may extend project timelines.

3.3 Communication

Clients are expected to be available for daily standups (15 minutes) during active sprints and to provide feedback within 24-48 hours when requested.

4. Payment Terms

• Deposit: 50% of project fee is due upon agreement to commence work.
• Final Payment: Remaining 50% is due upon project delivery.
• 30-Day Launch: May be structured as milestone-based payments.
• Retainers: Billed monthly in advance.
• Late Payment: Invoices not paid within 14 days may incur a 1.5% monthly fee.

5. Intellectual Property

5.1 Client Ownership

Upon final payment, the client receives full ownership of all custom code, designs, and assets created specifically for the project. This includes source code, design files, and documentation.

5.2 Third-Party Components

Projects may include open-source libraries and third-party services. These remain subject to their respective licenses.

5.3 Portfolio Rights

S2F.STUDIO retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Bug Window & Support

All projects include a 14-day bug window post-handoff. During this period, we will fix any bugs or issues that arise from normal use at no additional cost. This does not include:

• New feature requests
• Changes to agreed scope
• Issues caused by client modifications
• Third-party service outages

7. Limitation of Liability

S2F.STUDIO shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This includes business strategies, technical specifications, and any information marked as confidential.

9. Termination

Either party may terminate engagement with 7 days written notice. Upon termination:

• Client pays for all work completed to date
• S2F.STUDIO delivers all completed work and assets
• Deposits are non-refundable once work has commenced

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.
